Terms of Use

1. Parties

This Service Agreement ("Agreement") has been concluded between the following parties:

• Service Provider: cerez.io, Altıeylül, Balıkesir / Türkiye, Tax Office: Kurtdereli, VKN: 1400185229, MERSIS: [cerez.io to be completed by] (Hereinafter referred to as "cerez.io").
• User: The natural/legal person who creates an account on the cerez.io platform or uses the services (Hereinafter referred to as "User").

2. Definitions

• Service: cerez.io all functions related to the Cookie Consent and Accessibility Widget SaaS products offered by.
• SDK: The consent.js and accessibility.js files that the User integrates into their website.
• Plan: Free, Pro or Enterprise subscription packages.
• Domain: The internet domain name that the User owns or has the authority to manage.
• Pageview: A visitor visiting the User's site once (one page view).

3. Scope of Service

cerez.io offers Users the following SaaS services:

1. Cookie Consent Management Platform: KVKK + GDPR + ePrivacy compliant cookie consent banner, automatic cookie scanning, category management, consent log records.
2. Accessibility Widget: A Shadow DOM widget offering 35+ accessibility features (magnifier, contrast, screen reader, dyslexia font, etc.).
3. WCAG 2.2 Scanning: Automatic accessibility audit, violation report, compliance score.
4. AI-Powered Features: Automatic alt-text/aria-label generation with the OpenAI Vision API.
5. API and SDK: RESTful API, JavaScript SDK, WordPress plugin.
6. Reporting: Consent statistics, visitor behavior reports, XLSX/PDF/CSV export.
7. Multiple Users: Invitation system, role-based authorization (admin/editor/viewer).
8. Support: E-mail, live chat or priority support depending on the plan level.

The scope of service may be expanded or modified over time. Significant changes in scope are notified to the User at least 30 days in advance.

4. Account Creation and Security

4.1. Age Requirement

To use our services, you must be at least 18 years old or have the legal capacity to transact. For legal entities, the person creating the account must have the authority to represent the legal entity.

4.2. Providing Accurate Information

You accept that all information you provide during and after registration is accurate, current and complete. If incorrect/incomplete information is detected, cerez.io reserves the right to suspend or terminate your account.

4.3. Account Security

You are responsible for the confidentiality of your account username and password, and for all transactions carried out through your account. In case of suspicion of unauthorized access, you must immediately notify destek@cerez.io Following the notification, cerez.io bears liability limited to the measures it will take after the notification.

4.4. Domain Ownership

You undertake that the domains you add to the service are owned by you or that you have the authority to manage them. Otherwise, all legal liability arising belongs to the User.

5. Pricing

5.1. Plan Structure

cerez.io offers three main plans:

• Free: Free of charge, with limited pageviews and features.
• Pro: Monthly or annual payment, expanded limits.
• Enterprise: Pricing by individual negotiation, SLA, white-label, dedicated support.

5.2. VAT and Taxes

For Users resident in Turkey, prices include 20% VAT (unless otherwise stated). For B2B customers in EU countries, reverse-charge (VAT MOSS) applies; for B2C, local VAT applies. For customers outside Turkey, prices are generally USD-based.

5.3. Payment Methods

Payment integration is not yet active; subscription fees are collected by manual invoice + bank transfer/EFT. For Enterprise plans, payment by invoice (30-day term) is optional.

5.4. Automatic Renewal

Subscriptions are renewed automatically unless the User cancels. A notification is sent by e-mail 7 days before the renewal date. To cancel, the "Cancel Subscription" button in the panel is used.

5.5. Pageview Overage

When you exceed your plan limit: (a) an informational e-mail is sent, (b) a warning is issued at the 80% and 95% thresholds, (c) at 100% overage, an additional pageview fee is invoiced or an upgrade to a higher plan is recommended.

6. Refund Policy

Under the Law on the Protection of the Consumer (Law No. 6502), you have a 14-day right of withdrawal:

• You may request a refund within 14 days of the subscription start date without providing any reason.
• The refund request destek@cerez.io must be submitted in writing to the address.
• After the request is approved, the payment is refunded within 14 days using the same payment method.
• After 14 days, no partial refund is made (no refund applies for the remaining period in annual plans).
• For Enterprise plans, refund conditions are subject to the separately signed individual corporate agreement.

7. Limitations of Liability

7.1. "As-Is" Service

The service is provided "as-is" and "as-available". cerez.io does not guarantee that the service will operate without interruption, error-free or in a way that meets all your expectations.

7.2. No Guarantee of Legal Compliance

Important: The cerez.io Cookie Consent and Accessibility Widget tools assist the User in the process of complying with legal regulations such as KVKK / GDPR / ePrivacy / WCAG / EAA, but do not by themselves guarantee legal compliance. The ultimate responsibility for legal compliance belongs to the User. If you have any doubts, we recommend that you consult your legal counsel or your KVKK specialist.

7.3. SLA and Uptime

No contractual uptime SLA commitment is given for Free and Pro plans; the service is maintained with "commercially reasonable" effort. For the Enterprise plan, the SLA is defined in the individual corporate agreement signed between the parties. In the event of SLA breaches, refunds are made as a service credit (not a cash refund) under the conditions specified in the relevant agreement.

7.4. Direct/Indirect Damages

To the maximum extent permitted by applicable law, cerez.io cannot under any circumstances be held liable for indirect, incidental, special or consequential damages such as loss of profit, loss of data or business interruption. Liability for direct damages is limited to the amount paid in the last 12 months.

8. Intellectual Property Rights

cerez.io Rights

The cerez.io platform, SDK code, the "cerez.io" trademark, logos, design, content, documentation and software components are the intellectual property of cerez.io. They are protected by Law No. 5846 on Intellectual and Artistic Works and the relevant legislation.

8.2. License Granted to the User

cerez.io grants the User a personal, non-transferable, non-exclusive license to use the services for the duration of the subscription. This license does not include the right to copy, modify, create derivative works of, or reverse engineer the source code.

8.3. User Content

All content you upload to the service (banner texts, cookie categories, statement texts, etc.) belongs to you. cerez.io processes, stores and displays this content only to the extent necessary for the provision of the service.

9. Prohibited Uses

The User accepts and undertakes not to use the services for the following purposes:

• Publishing content contrary to the law, morality or public order.
• Carrying out cyber attack activities such as DDoS, brute force, port scanning.
• Using the APIs outside the rate limit or collecting data via scraping/bots.
• Infringing the intellectual property or personal rights of third parties.
• Reselling or leasing the service on behalf of another party (except under an authorized reseller agreement).
• Using the account to place the SDK on domains outside its own area of authority.
• Uploading content containing malicious software (malware, spyware).
• Disseminating prohibited content such as child abuse, terrorism, hate speech.

In the event of detection of prohibited use, the account is suspended or terminated without prior notice; the damages arising are compensated by the User.

10. Account Termination

10.1. User's Right of Termination

You may terminate your subscription at any time via "Cancel Subscription" in the panel. Termination takes effect at the end of the current billing period (in annual plans, access continues until the end of the period).

cerez.io may terminate the account in the following cases:

• Breach of the terms of the agreement (in particular Article 9, Prohibited Use).
• Delay of payment by more than 30 days.
• An official request from legal authorities.
• Complete discontinuation of the service (with at least 90 days' prior notice).

10.3. Data Return and Deletion

After termination, your data is retained for 30 days (in case of a return). During this period, you can export data via XLSX/CSV. At the end of 30 days, all account data is permanently deleted (except invoice records, which are retained for 10 years pursuant to VUK Article 253).

11. Force Majeure

The failure to fulfill obligations in circumstances beyond the parties' control, such as natural disaster, war, epidemic disease, collapse of internet infrastructure, government regulation, or an upstream CDN provider outage (AWS, Cloudflare), is deemed force majeure. Such circumstances are not included in the SLA calculation.

12. Governing Law and Competent Court

Turkish law applies to the interpretation and implementation of this agreement. The Balıkesir Courts and Enforcement Offices are designated as exclusively competent for any disputes that may arise.

For those acting in the capacity of a consumer, the competent consumer arbitration committees and consumer courts provided for in the Law on the Protection of the Consumer may also be applied to.

13. Amendments to the Agreement

cerez.io reserves the right to amend this agreement unilaterally. Material changes are notified to the User by e-mail at least 30 days in advance. Continuing to use the service after notification means acceptance of the changes. Users who do not wish to accept may cancel the subscription within this period and receive a refund for the unused period.
